The Capital Market Authority announced a significant step to establish levels of justice and efficiency in the investment environment by starting to compensate over 20,000 affected individuals from violations and manipulations committed on the shares of Al-Kathiri Holding and Anam International Holding.

These compensations come in implementation of a decision by the Appeals Committee issued on December 14, 2023, which mandated several violators to pay 292.8 million riyals for the illicit gains realized from those price violations.

The amounts have been deposited automatically into the accounts of the affected traders through the Compensation Fund under the decision of the Authority's Board according to the approved distribution plan in the decision of the Dispute Resolution Committee No. 6724/1/2026 for the year 1448 AH, where the value of compensations for some individual investors exceeded six million riyals.

This foundational fund represents the fourth of its kind to compensate the affected within less than 12 months in activation of Article (59) of the Capital Market Law, which shortens time and procedural burdens and provides advanced regulatory protection that supports the competitiveness of the Saudi financial market and its investment attractiveness to local and foreign capital.

Students from Al-Yamamah University and market experts discussed the dimensions of this historic decision and its procedural and regulatory implications as follows:

Restoring Rights and Reducing Risk Premium

Student "Rimas Almashali" @Rimas Almashali opened the discussion by highlighting the regulatory impact of the decision, stating: "The most important impact of this measure is not the monetary value of the compensations themselves, but rather in enhancing public trust in the efficiency and fairness of the financial market. When an investor sees that illicit gains are being reclaimed decisively, and that the rights of the affected are returned to them through a swift and organized mechanism, this directly contributes to reducing the risk premium associated with the market and supports long-term investment.

As for the liquidity level of the two companies, it is expected that closing this file will help eliminate one of the most significant sources of uncertainty surrounding them; however, the future performance of the shares of Al-Kathiri and Anam will still primarily depend on their operational results and financial fundamentals, not merely on the conclusion of the case.

The Authority's directive here sends a clear message that the market is not only targeting the attraction of capital but also prioritizes the protection of investors."

Addressing Uncertainty and Supporting Small Shareholders

For her part, student @Shahad Al-Muhaysin supported this proposition by reviewing the speed of legislative processing, stating: "The importance of the decision goes beyond the financial aspect to enhance the confidence of participants in the efficiency of the legislative environment for TASI.

When an investor feels that violations are addressed swiftly and rights are delivered to their owners, the level of investment fears decreases, and liquidity is encouraged to enter safely.

Looking at the movements of the shares of Al-Kathiri and Anam, closing this chapter contributes to ending the state of ambiguity and stabilizing the morale of the shareholders of the two companies, while the future investment outlook for both remains contingent on actual financial performance and developments in core activities away from the historical case proceedings."

Financial Cleansing and Sustainability of Cash Flows

Student "Fay Aldossari" @Fay Aldossari commented from an accounting and structural perspective, stating: "The event from an accounting angle represents a clear financial cleansing of the market from the repercussions of illicit funds; as this liquidity has been efficiently redirected without the burden of fees to its correct investment channels.

This regulatory behavior restructures levels of investment security and directly supports the sustainability of immediate liquidity and the stability of the trading of listed shares in the market in general."

Separation of Compensations from Companies' Financial Statements

In a more precise financial analysis regarding the structure of disbursement, student "Rana Alshamrani" @Rana Alshamrani stated: "One of the essential aspects to pay attention to is that these compensations were fully disbursed from the funds and gains collected from the violators themselves, and not deducted from the Authority's budget or from the assets of Al-Kathiri and Anam.

Accordingly, there are no burdens or direct financial obligations that will fall on the two companies, and no negative impact is expected to appear in their financial statements.

The real impact here is divided into two parts: the first is reinforcing trust in the system's ability to enforce regulations, and the second is releasing cash liquidity that has been frozen throughout the litigation period and returning it to circulate in the market. Although closing the file removes significant psychological pressure (Uncertainty), any short-term price movements of the concerned shares will remain driven by trader sentiment (Market Sentiment) more than changes in financial fundamentals (Fundamentals)."

Digital Infrastructure and Integration of Regulatory Systems

Student @Tina Azy concluded the discussion by focusing on technical efficiency, stating: "The technical and regulatory aspect of this announcement is very striking; as the precise and rapid compensation of more than 20,000 investors reflects the existence of a developed and strong electronic linkage between the parties involved in the financial market.

This technical integration shortens complex and lengthy legal procedures and ensures that rights reach their owners directly in their accounts, thereby enhancing trust in the efficiency of the market's infrastructure and its regulatory and operational capabilities."

Expert Professor "Abdulaziz Khrais" provided a comprehensive and historical analytical reading of this regulatory transformation, stating:

"In a beautiful initiative, the Capital Market Authority compensated more than 20,000 affected individuals, making this the fourth fund to effectively and sustainably apply the concept of compensation funds in the Kingdom.

Previously, the amounts paid for financial penalties resulting from violations went directly to the Authority's general revenues, but within less than 12 months, the Authority adopted a new and advanced idea represented in the establishment of funds for the affected; aiming to direct the amounts recovered from manipulations directly to the accounts of those who were actually harmed in specific companies, according to what is approved and adopted by the Dispute Resolution Committee for Securities.

According to the available official data, these current compensations included more than 20,000 shareholders, and some individual compensations exceeded 6 million riyals, which are related to a case in which the manipulators were convicted and dates back to 2020 concerning the shares of Anam Holding and Al-Kathiri Holding.

It is worth noting that the Authority has successfully activated this mechanism in previous periods through compensation funds that had their distribution plans approved by the Dispute Resolution Committee, which included the affected parties of Hadeed National and investors of Dar Al-Arkan Real Estate Development, in addition to previous compensations for Al-Kathiri Holding; which confirms the regulatory maturity and the strict legislative environment that the Saudi market now enjoys."

Financial and Economic Analyst "Hamad Alsaeed" @Hamad Alsaeed concluded the discussion with his comment, stating:

The recent regulatory action of recovering 292.8 million riyals to compensate more than 20,000 affected individuals represents a fundamental correction to the price fluctuations that affected the shares of Al-Kathiri and Anam in 2020.

To clarify the picture from a fundamental analysis perspective, we will take the performance of Al-Kathiri Holding as an example, where we see a sharp disconnection between market value and operational performance.

Al-Kathiri Holding recorded a decline in net income of 20.6% (reaching 3.63 million riyals) and a decrease in operating income of 10.6% during the first quarter of 2020.

Despite this financial decline, the stock surged significantly in June to reach a speculative peak of 4.30 riyals at the beginning of October 2020, with inflated price-to-earnings ratios.

On the other hand, Anam was traded at a standard book value multiple exceeding 31 times, significantly surpassing the sector average of 1.9 times, and this inflated rise occurred concurrently with the erosion of shareholders' equity and the company's accumulated losses exceeding 75% of its capital.

To clarify the impact, the enforcement of these strict measures will not only restore rights but will also effectively deter such behaviors in the future and enhance the attraction of foreign and institutional capital.
